TERMS OF USE AGREEMENT
Effective Date: October 1, 2025
1. INTRODUCTION
1.1 Overview.
Welcome to StarMate, operated by LLC StarMate App, a Delaware limited liability company ("StarMate," "we," "our," or "us"). These Terms of Use ("Terms" or this "Agreement") govern your access to and use of the StarMate mobile application, website, and related services (collectively, the "Services"). This Agreement is a binding legal contract between you and StarMate. Please read it carefully.
1.2 Binding Agreement; Incorporation by Reference.
By creating an account, accessing, installing, or using any component of the Services, you acknowledge that you have read, understood, and agree to be bound by: (a) these Terms; (b) our Privacy Policy; (c) our Cookie Policy; (d) our Member Principles & Safety Guidelines; and (e) any additional terms disclosed to you at the time of purchase or activation of features ("Additional Purchase Terms"). All of the foregoing are incorporated into these Terms by reference.
1.3 Nature of Services; Entertainment Only.
StarMate provides an astrology‑driven dating and lifestyle platform that includes, without limitation, AI‑enhanced astrological and numerological insights, compatibility scores, content generation tools, and messaging. All insights and outputs are for entertainment and informational purposes only and do not constitute medical, psychological, legal, or professional advice. You are solely responsible for your decisions and interactions.
1.4 Changes to the Terms and Services.
We may update these Terms and/or introduce, modify, or discontinue features at any time in our discretion to enhance safety, security, or functionality, comply with law, or reflect product evolution. Unless otherwise required by law, changes become effective upon posting the updated Terms in the App or on our website with a new "Effective Date." Where material changes adversely impact your rights, we will provide notice via in‑app message, email, or other reasonable means. Your continued use after the Effective Date constitutes acceptance. If you do not agree, you must stop using the Services and delete your account.
1.5 Age and Jurisdictional Restrictions.
The Services are intended solely for adults 18+ and are not available in jurisdictions subject to U.S. embargoes or where use would violate applicable law.
1.6 California Subscriber Notice.
California residents may cancel a subscription, without penalty or obligation, at any time prior to midnight of the third business day after purchase. If you subscribed via an external platform (e.g., Apple App Store or Google Play), you must cancel through that platform. For direct purchases, see Section 11 and Section 12.
2. DEFINITIONS
2.1 Account – A unique profile registered on the Services.
2.2 Affiliate – Any entity that directly or indirectly controls, is controlled by, or is under common control with StarMate.
2.3 Applicable Law – All laws, rules, regulations, court orders, and governmental guidance applicable to you or to StarMate’s operation of the Services, including regional data protection statutes.
2.4 Content – All information, data, text, images, audio, video, code, designs, and materials made available via the Services, including Your Content, Member Content, and StarMate Content.
2.5 External Service – A third‑party distribution, payment, or login provider (e.g., Apple App Store, Google Play, third‑party SSO).
2.6 Member – Any Account holder.
2.7 Member Content – Content submitted or provided by other Members.
2.8 StarMate Content – Content owned by or licensed to StarMate, including the App, Website, UI/UX, algorithms, models, data schemas, designs, trademarks, and other intellectual property.
2.9 Subscription – A recurring paid access plan for premium features.
2.10 Virtual Items – Non‑monetary, non‑redeemable digital features or credits.
2.11 Force Majeure Event – An event beyond a party’s reasonable control (e.g., natural disasters, war, terrorism, labor disputes, internet or hosting failures, power outages, epidemics, governmental action).
3. ELIGIBILITY; ACCOUNT REGISTRATION; SECURITY
3.1 Eligibility.
You represent and warrant that: (a) you are at least eighteen (18) years old; (b) you are not prohibited from using the Services under Applicable Law; (c) you have not been removed from the Services previously for breach without our express written permission; (d) you are not on any U.S. or international sanctions list; and (e) you will use the Services for personal, non‑commercial purposes only.
3.2 Accurate Information.
You must provide accurate, current, and complete information and keep it updated. Misrepresentation (including of identity, age, occupation, or affiliations) is strictly prohibited and may result in immediate termination.
3.3 Account Security.
You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your Account. Notify us promptly at security@starmate.app of any suspected unauthorized access. We may require multi‑factor authentication, device verification, or other safety controls.
3.4 One Account Policy.
You may maintain only one Account. You may not transfer your Account, share credentials, or allow others to access your Account.
3.5 Verification; Screening.
We may (but are not obligated to) request identity or device verification, conduct risk checks, or require additional information to comply with law or our safety policies. See Section 16 (No Background Checks) for more details.
4. MEMBER RESPONSIBILITIES; PROHIBITED CONDUCT
4.1 Member Responsibilities.
You agree to: (a) comply with these Terms and Applicable Law; (b) respect other Members on and off the Services; (c) use the latest App version; (d) review and follow Safety Guidelines; (e) maintain secure devices and passwords; (f) promptly report safety issues, suspicious behavior, or content.
4.2 Prohibited Conduct.
You will not, and will not permit or encourage others to:
- Impersonate any person or entity, or otherwise misrepresent your identity, age, or affiliations;
- Harass, stalk, threaten, exploit, or defame any person;
- Engage in illegal activities, including trafficking, money muling, explicit sexual content involving minors, or incitement of violence;
- Request or provide financial compensation, gifts, or "allowances" (e.g., sugar arrangements), or conduct solicitation for goods or services;
- Post or share Prohibited Content (see Section 5);
- Use the Services to conduct studies, scraping, or data mining, including use of bots, crawlers, or automated tools;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying models;
- Interfere with or disrupt the Services, servers, or networks;
- Upload malware, spyware, or any code that could harm or surveil others;
- Circumvent safety controls, moderation tools, or access restrictions;
- Create an Account after termination without our express written consent.
4.3 Consequences.
Violations may result in content removal, feature limits, suspension, account termination, device bans, referral to law enforcement, and/or legal action. No refunds are provided for actions taken under this Section except as required by law.
5. PROHIBITED CONTENT
5.1 Categories.
Content is prohibited if it:
- Is illegal; promotes or facilitates illegal activity;
- Depicts or sexualizes minors;
- Incites violence, terrorism, or self‑harm;
- Is pornographic or excessively graphic;
- Is hateful, discriminatory, or harassing on the basis of protected characteristics;
- Is defamatory, fraudulent, or misleading;
- Infringes intellectual property, publicity, or privacy rights;
- Contains another person’s personal data without consent;
- Includes spam, scams, or commercial advertising;
- Is inconsistent with the intended use of the Services or harms StarMate’s reputation.
5.2 Images and Likeness.
You may upload images only of yourself or with express consent of others depicted (and of a parent/guardian if a minor is incidentally present with a guardian). Deepfakes or manipulated media must be labeled and may still be disallowed.
5.3 Enforcement.
We may remove or restrict access to Prohibited Content, notify authorities where required, and take actions described in Section 4.3.
6. CONTENT RIGHTS AND LICENSES
6.1 Your Content – Ownership and License.
As between you and StarMate, you retain ownership of Your Content. You grant StarMate a worldwide, non‑exclusive, transferable, sublicensable, royalty‑free, and irrevocable license to host, store, reproduce, adapt, edit, translate, analyze, create derivative works from, publicly perform, publicly display, and otherwise use Your Content to operate, secure, improve, and promote the Services, including training or fine‑tuning our safety and relevance systems to the extent permitted by law and our Privacy Policy. Where prohibited by law, we will not use personal data for model training without required consent.
6.2 Member Content – Limited Right to View.
You may view Member Content solely for personal, non‑commercial use through the Services. You have no license to copy, distribute, or exploit Member Content off‑platform without the rights holder’s permission.
6.3 StarMate Content – Reservation of Rights.
StarMate and its licensors own all rights in StarMate Content. Except for the limited license in Section 7, no rights are granted by implication or otherwise. Trademarks, service marks, and logos may not be used without our prior written consent.
6.4 Content Monitoring.
We may (but are not obligated to) review, moderate, or remove Content for any reason, including safety, legal compliance, or policy enforcement.
7. LICENSE TO YOU; APP STORE TERMS
7.1 Limited License.
Subject to your compliance with these Terms, StarMate grants you a personal, limited, revocable, non‑exclusive, non‑transferable, and non‑sublicensable license to install and use the App on devices you own or control for your personal, non‑commercial use.
7.2 App Store Rules.
Your use of the App is conditioned on compliance with the Apple App Store or Google Play terms applicable to your device. To the extent those terms conflict with this Agreement, the App Store terms control only as to the conflict.
7.3 Open Source.
Certain components may be subject to open‑source licenses. Where applicable, those licenses govern your use of such components.
8. AI‑GENERATED AND ASTROLOGICAL OUTPUTS
8.1 Informational Nature.
Astrological charts, compatibility scores, predictions, and AI‑generated guidance are informational/entertainment only. They may be biased, incomplete, or wrong.
8.2 Your Responsibilities.
You are solely responsible for decisions you make based on outputs and for communications you initiate with other Members. Always exercise caution and judgment.
8.3 No Professional Advice.
Outputs are not a substitute for professional advice. Seek qualified help for medical, psychological, legal, or financial matters.
9. SAFETY; REPORTING; ENFORCEMENT
9.1 Safety First.
Review our Safety Guidelines before interacting with others. Meet in public places, tell a friend where you are going, and do not send money to people you meet on the platform.
9.2 Reporting Tools.
Report problematic behavior via in‑app tools or contact safety@starmate.app. Provide as much detail as possible (screenshots, timestamps, profile links).
9.3 Action We May Take.
We may warn, restrict, suspend, or ban Accounts; remove content; block devices; notify platforms; or contact law enforcement. We may not disclose specific enforcement details to protect safety and privacy.
10. PRIVACY AND DATA PROTECTION
10.1 Privacy Policy.
Our collection, use, and sharing of personal data is described in the Privacy Policy referenced in Section 1.2. By using the Services, you consent to our data practices consistent with Applicable Law.
10.2 Global Compliance.
We implement processes intended to align with major data laws, including GDPR (EU/UK), DPDP 2023 (India), LGPD (Brazil), and CCPA/CPRA (California). Depending on your location, you may have rights to access, rectify, delete, restrict processing, object, or port your data. Contact privacy@starmate.app to exercise rights.
10.3 International Transfers.
You consent to transfer of your data to the United States and other jurisdictions where we or our service providers operate, subject to appropriate safeguards where required.
10.4 Data Security.
We use administrative, technical, and physical safeguards designed to protect personal data. No method of transmission or storage is 100% secure.
11. PURCHASES; SUBSCRIPTIONS; PRICING; PROMOTIONS
11.1 External Service Purchases.
If you purchase via an External Service (e.g., Apple/Google), your billing relationship is with that provider. Manage and cancel in your External Service account settings. Taxes may apply based on your location.
11.2 Direct Purchases.
If you purchase directly from StarMate, you authorize us to charge your selected payment method for the amounts disclosed at checkout, plus applicable taxes. You agree we may correct billing errors.
11.3 Automatic Renewal; Cancellation.
Subscriptions renew automatically unless canceled at least 24 hours before the renewal date. For direct subscriptions, you can cancel in Account Settings or by contacting support@starmate.app. Deleting your Account does not cancel External Service subscriptions.
11.4 Pricing; Trials; Promotions.
We may vary prices by geography, term length, or bundle, and test new features or price points. If a price changes for a renewing plan, we will attempt to notify you in advance; if you do not cancel, you authorize renewal at the then‑current price.
11.5 Virtual Items.
Virtual Items are licensed, not sold; have no cash value; are non‑transferable; and may be modified or discontinued at any time. All purchases and redemptions of Virtual Items are final, except where prohibited by law.
12. REFUNDS; CONSUMER RIGHTS; REGIONAL NOTICES
12.1 General Policy.
Except where required by law, all purchases are final and non‑refundable. We do not prorate unused Subscription periods.
12.2 EU/EEA/UK/Switzerland – 14‑Day Withdrawal Right.
If you reside in the EU/EEA/UK/Switzerland, you may withdraw from a Subscription within 14 days of commencement and receive a refund in accordance with Applicable Law. By starting to use the service during this period, you acknowledge there may be a proportional charge for used days/features as permitted by law.
12.3 U.S. State Rescission Rights.
Certain U.S. states grant cancellation rights (e.g., California three‑business‑day rescission; disability/death refunds). To exercise a statutory right, follow the instructions in your platform account or contact support@starmate.app for direct purchases. Provide your order number and Account email/phone.
12.4 Brazil (LGPD) and Other LATAM.
Where local consumer law mandates specific refund or cancellation rights, we will honor those rights consistent with Applicable Law.
13. INSTALLMENT PLANS (IF OFFERED)
13.1 Eligibility.
Installments may be offered to qualifying Members in good standing. We may decline or revoke eligibility at any time.
13.2 Payment Terms.
You authorize periodic charges to your payment method for equal installments as disclosed at purchase. If divisible amounts are uneven, the final installment may differ slightly.
13.3 Default; Remedies.
If a charge fails, we may suspend your features or Account and pursue any lawful remedy. You remain responsible for outstanding balances.
13.4 Cancellation.
Canceling a Subscription paid via installments stops future renewals but does not eliminate remaining installments for the current term unless required by law.
14. ACCOUNT TERMINATION
14.1 By You.
You may terminate your Account at any time through in‑app settings. Termination is effective when processed by our systems.
14.2 By StarMate.
We may suspend or terminate your Account or access to features at any time, with or without notice, if we believe you violated these Terms, pose a safety risk, or as required by law or platform rules.
14.3 Effect of Termination.
Upon termination, your license ends and access to the Services ceases. We may retain certain data as required or permitted by law and our Privacy Policy. No refunds are issued except as required by law.
15. ADVERTISING; THIRD‑PARTY LINKS; INTEGRATIONS
15.1 Third‑Party Content.
The Services may display ads, promotions, or links to third‑party sites or services. StarMate does not endorse and is not responsible for third‑party content or practices.
15.2 Offers for Virtual Items.
From time to time, you may be offered the ability to view ads or complete actions in exchange for Virtual Items. We do not guarantee availability of such offers.
16. NO BACKGROUND OR IDENTITY CHECKS
16.1 No Checks.
StarMate does not routinely conduct criminal background or identity verification checks. We may, where permitted by law, conduct limited screenings (e.g., sex‑offender registry checks) or request identity confirmation at our discretion, but make no representation or warranty regarding user identity or conduct.
16.2 Your Risk; Precautions.
You are solely responsible for your interactions with other Members online and offline. Follow our Safety Guidelines and use common sense when meeting people.
17. DISCLAIMER OF WARRANTIES
17.1 AS IS / AS AVAILABLE.
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARMATE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
17.2 No Guarantees.
WE DO NOT GUARANTEE ANY NUMBER OF ACTIVE MEMBERS, MATCHES, COMPATIBILITY RESULTS, OR OUTCOMES. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
18. LIMITATION OF LIABILITY
18.1 Exclusion of Certain Damages.
TO THE FULLEST EXTENT PERMITTED BY LAW, STARMATE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES OR THIS AGREEMENT.
18.2 Liability Cap.
IN NO EVENT SHALL STARMATE’S AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNTS YOU PAID TO STARMATE FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
18.3 Carve‑Outs.
Nothing in this Section limits liability for gross negligence, fraud, willful misconduct, or injury where such limitation is prohibited by law.
19. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless StarMate, its Affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) Your Content; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of third‑party rights.
20. INTELLECTUAL PROPERTY; DMCA
20.1 Ownership.
StarMate retains all right, title, and interest in the Services and StarMate Content.
20.2 DMCA Notices.
If you believe material on the Services infringes your copyright, send a notice to:

Your notice must include: (a) your signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact information; (e) a statement of good‑faith belief; and (f) a statement under penalty of perjury that you are authorized to act.
20.3 Repeat Infringers.
We may terminate Accounts of repeat infringers.
21. DISPUTE RESOLUTION (U.S.); ARBITRATION; CLASS WAIVER
21.1 Informal Resolution.
Before filing any claim, you must first send a written notice of dispute to legal@starmate.app describing the nature and basis of the claim and the relief sought. If we cannot resolve within sixty (60) days, either party may commence arbitration or, if eligible, a small‑claims action.
21.2 Binding Arbitration (JAMS – Delaware).
Except for claims eligible for small‑claims court, any dispute, claim, or controversy arising out of or relating to this Agreement or the Services will be resolved by confidential, binding arbitration before JAMS under the JAMS Comprehensive Arbitration Rules. The seat of arbitration is Delaware, USA and the language is English. One neutral arbitrator shall be appointed. The arbitrator may award any relief available in court (excluding class‑wide relief).
21.3 Class Action and Jury Trial Waiver.
YOU AND STARMATE WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY.
21.4 Small‑Claims Court.
Either party may elect to bring an individual claim in a local small‑claims court if the claim qualifies.
21.5 Court Proceedings; Injunctive Relief.
If a court determines the class waiver is unenforceable as to a particular claim, then that claim shall proceed in court (not arbitration) and the remaining claims in arbitration. Either party may seek temporary injunctive relief in court to protect confidential information or intellectual property.
21.6 Non‑U.S. Users.
For users in jurisdictions where binding arbitration and class waivers are not enforceable (e.g., EU/UK, India, certain LATAM/CIS countries, Indonesia), disputes will be resolved in local courts as permitted by law. Delaware law governs to the extent not inconsistent with mandatory local law.
22. EXPORT; SANCTIONS; ANTI‑CORRUPTION
You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. sanctions. You will not use the Services in violation of U.S. export laws or anti‑corruption laws.
23. SERVICE CHANGES; SUSPENSION
We may change or discontinue any feature, or suspend the Services, in whole or in part, for maintenance, security, legal, or business reasons. Where feasible, we will provide advance notice of material changes.
24. NOTICES; COMMUNICATIONS
We may send you notices via email, in‑app messaging, or push notification. You consent to receive electronic communications. Legal notices to StarMate must be sent to legal@starmate.app and to StarMate Address.
25. MISCELLANEOUS
25.1 Governing Law.
Except as otherwise required by local mandatory law, this Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles.
25.2 Entire Agreement.
These Terms, together with the documents referenced in Section 1.2, constitute the entire agreement between you and StarMate and supersede all prior understandings.
25.3 Severability.
If any provision is held invalid, the remaining provisions remain in full force and effect.
25.4 Assignment.
You may not assign or transfer these Terms without our prior written consent. We may assign freely, including in connection with a merger, sale, or corporate reorganization (including conversion from LLC to C‑Corp).
25.5 No Waiver.
Failure to enforce any provision is not a waiver of future enforcement.
25.6 Survival.
Sections relating to licenses, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms survive termination.
